Maybe mgmt feels there's a serious risk of shares getting "put" back to the company. If that occurred in any material scale it would likely be the death blow to the company. I'm guessing there sole motivation is to buy time.
I know if I were on the board I'd be forcing some worst case contingency planning which I hope is happening behind the scenes, for my clients sake!
