Location, Location, Location.  you didn't say whee you are from, which makes a lot of difference in answering your question.  You do need to seek legal help, not all are experienced in lease work, so find someone with experience.  Years ago the standard lease was a producers 88 in this area, and there was a lot of difference between those standard leases.  For my area, the amount offered sounds a bit low, but if there is no production in your area, and the term for the lease expires quickly, perhaps not a bad offer.  There are tricky wordings on when a lease expires, so read carefully before signing, and never sign without consulting someone with oil experience.
