Who owns what? Is it all in the corp? There should have been some kind of terms written in to the bylaws of the corp addressing retirement. If not your brother needs to pay you some kind of rent on machinery and or land. I'm not sure how a C-corp works paying out yearly earnings but maybe that would be all that is needed as you would still have your shares.
