young buck - 12/3/2012 12:41 Im looking to protect my company with one of these options. What is the main difference between these two? Also how can a person find the best lawyer/attorney? When it comes to important decisions like this I want to hire the best there is to not miss anything.

Start with the Best CPA first . .  .  The will direct you to what they are and what would / could be best for your business. Attorneys will and can set up what they think is best, but your accountant or CPA will be left scratching his/her head, wondering why ? Why it was set up to begin with. Why it was set up when such and such would have been better? And so on . . . .
Start with your or find a good CPA that has experence with LLC and other business entities.
Get advice from them and then ask them for recomendations of attorneys that have good experence with business entities.
IT could be such, that a higher level of insurance is all you'd need for your business.
That would save lots' of yearly paper work with the state of Mn and the yearly fee's associated with a seperate company.
The biggest more important consideration - KISS (keep it simple stupid).
Keep in mind, Attorneys and accountants are there making money off of you - finding one that has YOUR best intest in mind is key. It can take a few interviews and relationship building to find professionals to use in your life time.
Like a Dr. finding one that is experenced enough and is close to your age is helpfull. Nothing worse then haveing a great old professional guiding you with personal and business decisions and then they go and croak on you - then you have to start all over ~
