The value will be subject to real income tax, which will be a much larger penalty, than capital gains tax.
I believe that you are correct, it wouldn't be any different than selling a piece of equipment that has been depreciated out.
Its not a great option but frankly there are not great options for this kind of situation, there aren't even any good options and probably not any decent options either.
