While I can relate to your want in the use of the existing shed you need to look hard at other options. In the early 1980's myself and my father did about what you are proposing for alot of the same reasons you are looking at. But now in 2008 would I look at it the same, probably not.

Look at the true cost of fitting the existing building up as a heated shop as opposed to building new. You will get a somewhat easier to heat building with a new and the extra height that a new one over 14' sidewalls will be a real plus. That 1% of the time you say you would need the height will come in handy 100% of the time. Being able to work on the top of your tallest piece of equipment will be nice if you go that route.
I don't know your yard but think "outside the box" and see if you can fit another building in a spot you haven't thought of yet. By putting your money in a new shed as opposed to a remodel job you will get the side benefit of more storage to boot.
With a heated shop you will start on a lot of projects during the winter that before you would not have thought of doing. That height will come in handy.
