Yet to properly dispose of a worn flag you are to fold it and burn it. During the burning, those present should salute and recite the Pledge of Allegiance. If burning isn't possible, the flag can be buried respectfully. Best thing is to have is a Boy Scout Troup have a ceremony and retire the flag by burning.
