I'm sure the rules vary from state to state. In Ohio a flagger is required if there are not 2, 8 foot open lanes for bidirectional traffic. It's also required to have signage with the first sign 1-2 miles from the flagger and at least 3 signs before the flagger.

From your details the signage was not adequate and the company would be totally at fault.
