North of London | I think the whole meeting could be invalid if they broke the bylaw by not having the agenda out as required.
Did I understand correctly that the new members were not allowed to vote on this old business motion?
If so that is another reason the meeting could be called invalid.
If the new members are legally elected at a general members meeting they are immediately the reps not the old retired directors.
Is there q number of directors listed as al legal quorum ?
4 members not allowed to vote may be close to or too few to be a legal quorum
I always tried to keep ckiques removed from small boards.
They can too often be run by 1 or 2 members of the board and you do not get good ideas and feedback from honest discussion among the whole board.
Good luck sorting out the questions and getting a good board that works together.
BTW any board I was involved in had a set of bylaws that limited the time a person could sit on the board like 3 3year terms or 4 terms
I think a board that does not have trunover can become stagnant and forget to follow rules because 'we always did it this way' | |
