S Illinois | Day to day operations would be completely the CEO’s responsibility. The board would be there to manage all important and/or big decisions. If the CEO, in the opinion of the board, deviates too much they have all rights to realign or push the CEO in the direction they want and if worst comes to worse removal of the CEO.
From a farming comparison, the CEO or his subordinates would decide when to plant, what varieties to plant, manage employees etc. The board would have the say over expansion or major capital purchases or advice and consent for changes in what an operation would grow crop wise.
