Bacteria will certainly be dead but they leave behind toxins that don't leave. Its' the same line of thought as having meat in the danger zone too long. Most of the bacteria will be on the outside of meat, the thought is that you push them into the middle where it is a much lower temp. Not an issue when the outside is high enough to kill any bacteria.
