Good luck to you on this. Very tough decisions. Most school boards dread this so much that do anything to keep their superintendent happy and from leaving. Even to the point of letting him dictate and threaten to leave if dosnt get his way. Of course he will leave anyway if a better offer comes along, after he has milked the district dry.
I would try to eliminate the contract buyout if he leaves before contract expires for any reason.
